The Contracts Manager impacts the organization by helping to ensure contract documents are developed to comply with all applicable federal, state and local regulations and by developing standard contract language to increase efficiency in the contract development process. The Contracts Manager is responsible for managing the contract process from inception to expiration, including amendments and renewals. He/She prepares, negotiates, and tracks customers’ contracts and reviews and understands the terms and conditions for acceptance.

The Contracts Manager drafts, interprets, and analyzes contract clauses, provisions, specifications, and requirements, maintains the interests of the parties, and provides commercially-focused contractual advice. He/She ensures contracts are developed and comply with UPS requirements and applicable laws. He/she provides guidance and recommendations in the event of disputes.

JOB DUTIES

· Proficiently redline and negotiate NDA’s, MOU’s, contract amendments and contracts of moderate to significant value into legally binding documents

· Review contract documents and requests for proposals to identify risks associated with the business relationship and recommends contract language to mitigate the risks

· Review documents at all stages of process to identify gaps, oversights, errors, and opportunities to reduce risk/exposure

· Take a lead role in negotiating issues internally and externally with others in routine or non-complex situations; identifies and removes barriers to agreements; tries multiple strategies/actions to persuade others; wins concessions effectively; provides input into future negotiation processes or strategies

· Serve as Customer Lifecycle Management (“CLM”) system administrator to manage the contract process, including the completion of from post-customer engagement to final execution and distribution

· Demonstrate a solid understanding of at least two (2) of the company’s core businesses, including but no limited to warehouse distribution services, transportation management, Mail Innovations and other transportation offerings

· Demonstrate UPS policy and procedure knowledge, corporation law knowledge, product service expertise

· Demonstrate ability to develop solid working relationships with Business Development, Solutions, Operations and Risk Management and various commercial business support groups.

· Identify the steps in assessing and managing risk; demonstrate an understanding of potential pros and cons of a plan of action as well as situations where it is advisable to conduct a risk assessment

· Demonstrate a continuing progression in terms of learning and understanding the terms of the MSA, Service Schedules and Statement of Works for at least two (2) of the company’s core business units.

· Manage administrative staff

· Demonstrate the ability to successfully manage and implement moderately complex projects (e.g., duration of 12 months or less, single geography, single business unit); direct the implementation of multiple projects simultaneously; ensure that stakeholders and implementation teams clearly understand the plan, schedule, objectives, metrics, roles and responsibilities; manage project scope throughout project lifecycle to ensure that resources remain focused and objectives are achieved; identify root causes of implementation issues; mobilize course correction efforts as required; execute risk management plan when appropriate (e.g., mitigation, avoidance); conduct formal project closeout review; document lessons learned and utilize such lessons for future projects; demonstrate skill in the use of project management tools and technology

EDUCATION

Bachelor’s degree in English, Business Administration, Finance, Economics, Mathematics, Engineering, or Physical sciences etc. 1-2 years of contract drafting and negotiating experience preferred.

Position reports to the UPS Supply Chain Solutions, Inc. Chief Counsel within Corporate Legal.

JOB REQUIREMENTS

Intermediate to Advanced Microsoft Word skills, Intermediate to Advanced Microsoft PowerPoint skills, and knowledge of Excel.
